TEKKA Platform - Developer & Partner Terms of Service

Welcome to the TEKKA Developer Hub! These Developer & Partner Terms of Service ("Terms") govern your access to and use of the TEKKA Application Programming Interfaces (APIs), software development kits (SDKs), developer tools, and associated documentation (collectively, the "Developer Tools") as a developer, partner, or third-party integrator ("Developer", "Partner", "you", or "your").
By registering a Developer account, accessing the Developer Hub, or using any TEKKA Developer Tools, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating a Developer profile or accessing the Developer Tools, you represent and warrant that you have the legal authority to bind yourself or the entity you represent to these Terms. These Terms constitute a legally binding agreement between you and TEKKA ("we", "us", or "our").
Your use of the Developer Tools and Platform is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use, and protect data in compliance with the GDPR.
2. Developer Account Registration
2.1 Information Accuracy: To access the Developer Tools, you must register for a Developer account. You agree to provide accurate, current, and complete information during registration and keep it updated.
2.2 Account Security: You are responsible for maintaining the confidentiality of your Developer account credentials, API keys, and access tokens. You must not share your API keys with unauthorized third parties or expose them in public repositories. You are fully responsible for all activities that occur under your API keys.
3. API Access and Usage
3.1 License Grant: Subject to your compliance with these Terms, TEKKA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Developer Tools solely to develop, test, and operate your integration or application ("Application") with the TEKKA Platform.
3.2 Rate Limits and Fair Use: Your use of the APIs is subject to rate limits and usage restrictions as defined in our documentation. You agree not to attempt to circumvent these limits. Excessive usage that degrades the performance of the Platform for others may result in temporary or permanent suspension of your API access.
3.3 Monitoring: TEKKA reserves the right to monitor your use of the Developer Tools to ensure compliance with these Terms, ensure quality of service, and improve our offerings.
4. Data Privacy and Security
4.1 User Data: If your Application accesses, collects, or processes TEKKA user data, you must do so only with the explicit consent of the user and in strict accordance with all applicable data protection and privacy laws (e.g., GDPR, CCPA).
4.2 Data Security: You must implement and maintain appropriate administrative, physical, and technical safeguards to protect any data retrieved from the TEKKA APIs against unauthorized access, use, modification, or disclosure.
4.3 Data Retention: You agree to delete any cached or stored TEKKA data when it is no longer necessary for the functioning of your Application or when requested by the user or TEKKA.
5. Prohibited Actions
When using the Developer Tools, you agree that you will not:
* Use the APIs to create an application that directly competes with the core functionalities of the TEKKA Platform.
* Reverse engineer, decompile, or disassemble the APIs or any part of the Platform.
* Introduce any viruses, malware, or malicious code into the TEKKA ecosystem.
* Use the APIs for any illegal, fraudulent, or unauthorized purpose.
* Scrap, harvest, or bulk-download data from the Platform outside of the intended API endpoints.
* Misrepresent your relationship with TEKKA or imply that your Application is officially endorsed or certified by TEKKA without prior written consent.
6. Intellectual Property
6.1 TEKKA Ownership: TEKKA retains all rights, title, and interest in and to the Developer Tools, the Platform, and all associated intellectual property.
6.2 Your Ownership: You retain all rights, title, and interest in your Application, excluding any TEKKA intellectual property embedded within it.
6.3 Brand Guidelines: You may use TEKKA's name and logos only to accurately identify your integration, provided you adhere to our brand guidelines. You must not use our branding in a way that suggests official partnership or endorsement unless explicitly granted.
7. Limitation of Liability and Indemnification
7.1 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEKKA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE DEVELOPER TOOLS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE DEVELOPER TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
7.2 Indemnification: You agree to indemnify, defend, and hold harmless TEKKA, its affiliates, and employees from any claims, damages, liabilities, or expenses arising from your Application, your use of the Developer Tools, or your violation of these Terms or any applicable laws.
8. Termination and Revocation
8.1 By You: You may terminate this agreement at any time by ceasing use of the Developer Tools and deleting your API keys.
8.2 By TEKKA: TEKKA reserves the right to suspend or revoke your API access and terminate this agreement at any time, with or without notice, for any reason, including violation of these Terms, security concerns, or if we discontinue the Developer Tools.
9. Modifications to Terms
TEKKA may update or modify these Terms or the Developer Tools from time to time. We will notify you of material changes via email or through the Developer Hub. Continued use of the Developer Tools after such changes constitutes your acceptance of the updated Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles, subject to any mandatory provisions of the law of the jurisdiction in which you are established. Any dispute arising out of or relating to these Terms shall be brought in the competent courts of the State of Wyoming, United States, unless mandatory law provides otherwise. Nothing in these Terms excludes or limits TEKKA's liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.
